01 · Planning

Tax and financial planning before investment

An investment decision involves more than company registration. The chosen business structure, financing, related-party transactions, VAT, incentives, employment, imports and exports, and future profit distributions can all affect tax and financial obligations in Türkiye.

We review the tax and reporting implications of your planned activities before establishment and use that assessment to inform decisions about your financial structure and ongoing obligations.

Choosing a company and operating structure

These are different ways to establish and conduct operations in Türkiye. We consider each option from a consistent tax, financing, and reporting perspective, then tailor our advice to the selected structure and your investment needs.

Joint-stock company (A.Ş.)

A Turkish company with its own legal identity. Capital and share arrangements, along with plans for future shareholders, are key considerations when assessing this option.

Limited liability company (Ltd.)

Another option for establishing a company in Türkiye. Ownership, management needs, and growth plans can be considered alongside the joint-stock company structure.

Branch

A way for a foreign company to conduct its Turkish operations through a branch connected to the head office. It can be considered alongside establishing a separate local company.

Liaison office

A structure for representation and coordination that does not conduct commercial activity. Planned activities must remain within the permitted scope.

Joint venture

A model for investing together with local or international partners. The legal structure and each partner’s role need to be determined separately.

International investors generally have the same rights and obligations as domestic investors when forming a company. Some sectors have additional permits or restrictions. Legal form and trade registry matters should be reviewed with qualified specialists.

02 · Getting started

From investment plan to operations

  1. Assess the investment

Review the business model, ownership, and anticipated transactions from a tax and financial perspective.

  2. Compare structures

Consider the tax and reporting effects of a company, branch, or other suitable structure.

  3. Coordinate registration

Coordinate trade registry, tax registration, and establishment matters with authorized specialists.

  4. Prepare financial processes

Address VAT, corporate tax, payroll and social security, electronic systems, and reporting requirements.

  5. Support ongoing operations

Review tax advisory, Full-Scope Tax Certification (Tam Tasdik), VAT, incentives, and financial reporting needs.

Many company and trade registry processes use MERSİS. Foreign-invested businesses may also have E-TUYS reporting obligations depending on their circumstances; current requirements should be checked with official sources.

03 · Tax and incentives

Tax and financial obligations

Our assessment may cover the following areas, depending on your structure and transactions:

  • Corporate income tax
  • VAT and refund conditions
  • Withholding taxes
  • Employment taxes and social security
  • Profit distributions
  • International taxation
  • Double taxation agreements
  • Transfer pricing
  • Import and export transactions

Applicable taxes, exemptions, and filing obligations depend on the business model, the nature of each transaction, and current legislation. We assess them in the context of your investment.

International tax and intra-group transactions

We assess transactions between your Turkish operations, overseas parent, and other group companies under Turkish tax law and relevant international agreements.

Transfer pricing

We review the arm’s-length and documentation aspects of goods, services, licensing, and financing transactions.

Profit repatriation

We assess dividends, withholding, and branch profit transfers under current law and the relevant treaty.

Double taxation agreements

We assess agreement provisions for cross-border services, payments for intangible rights, and financing in light of each transaction.

Tax and financial implications of investment incentives

The sector, location, scale, and technology level of an investment can affect which incentives may be relevant. We consider the investment incentive system, technology development zones, R&D and design activities, and free-zone rules against their respective conditions.

We assess potential tax and accounting effects alongside your investment plans. Access to an incentive depends on meeting its applicable conditions and completing the required application and review process.

How location affects tax and financial planning

Operating in an organized industrial zone, technology development zone, or free zone may have different tax and financial implications. We consider the relevant conditions together with your operational needs.
